PPC Management Agreement

1. Introduction & Term
This Agreement commences on the Effective Start Date and continues on a monthly basis unless either party provides at least thirty (30) days’ written notice prior to the renewal date.

Thank you for choosing Therapy Webgenie for your Google Ads management. We specialize in measurable growth through strategic planning, continuous optimization, and performance-based incentives. This proposal details our services, fees, service levels, and legal terms to ensure clarity and alignment.

2. Scope of Services & Service Levels
Therapy Webgenie will provide Google Paid Ad Management (PPC), focused on, the following:

2.1 Month 1 
- Campaign Setup: £500 + VAT
- To be completed within the first calendar month, with the aim to have initial campaigns live within 10 business days of contract commencement:
- Google Ads Account Setup (in client's name)
- Initial PPC keyword research & competitor analysis
- Initial campaign setup (Search, Performance Max & Retargeting)
- Ad copy creation (text ads, responsive search ads, extensions)
- Conversion tracking implementation (Google Analytics 4, Google Tag Manager)

2.2 Month 2 Onwards 
- Ongoing Paid Ads Management & Optimisation: £300 + VAT
- Bid strategy & budget allocation
- Negative keyword list maintenance
- A/B testing of ads
- Quality Score improvements
- Device, geographic, and schedule bid adjustments
- Monthly PPC Report and feedback delivered by the 5th business day
- Landing page & conversion rate optimisation recommendations

3. Payment Terms: The one-off setup fee is payable via online credit/debit card, and the monthly management fee is setup via automated card payment using Stripe as a payment gateway. We will provide you with guidance on where/how to make payment.

4. Legal Terms
4.1 Confidentiality & Data Protection
Both parties agree to keep confidential all proprietary information. Therapy Webgenie will process personal data in compliance with GDPR.

4.2 Intellectual Property
Client retains ownership of all creative assets and data. Therapy Webgenie retains ownership of proprietary methodologies and tools.

4.3 Limitation of Liability
Liability for direct damages capped at total fees paid in the preceding six months. Neither party liable for indirect or consequential damages.

4.4 Force Majeure
Neither party liable for delays due to events beyond reasonable control (e.g., natural disasters, strikes, service outages).

1. Client agrees and signs this PPC Management Agreement, and makes payment for the setup fee.
